A Practical Town for Practical Companies
Garner's highway access has drawn distributors, light manufacturers, auto repair shops, contractors and equipment dealers. These companies often own equipment, inventory and sometimes the building, which changes how a sale is structured.
Equipment and Inventory Matter
Buyers of industrial and service companies look at equipment age, condition and whether it is financed. An asset list with values supports your price and the allocation in the purchase agreement. See IRS Form 8594 for how that works.
Inventory is usually counted at closing and priced separately. Agree on how it will be valued before you sign.
Real Estate
If you own the building, you have choices. Sell the business and the property together, sell the business and lease the building to the buyer, or sell the property separately.
Many buyers cannot afford both, and rent that is below market looks like a perk to you and a cost to them.
What Buyers Check
- Customer concentration, especially one large account
- Key employees who run the shop floor or the route
- Environmental and safety records for yards and shops
The Buyer Pool
Distribution and industrial companies draw buyers from across the Southeast. Local operators look at service and auto companies. Financing is often SBA-backed with a seller note.
Read what your business is worth to a buyer to see how price comes together, then request a valuation check.
